Greenfields Announces Extension of Maturity Date Under its Senior Secured Debt
HOUSTON, TEXAS--(Marketwired - June 30, 2016) - Greenfields Petroleum Corporation (the "Company" or "Greenfields") (TSX VENTURE:GNF)(TSX VENTURE:GNF.DB) announces that it has signed the seventh amending agreement to the loan agreement dated November 25, 2013 (the "Loan Agreement") with its senior lender ("Lender") to extend the loan maturity date to July 31, 2016. The extension is intended to provide the Company's wholly owned subsidiary, Greenfields Petroleum International Company Ltd. ("GPIC"), additional time: (i) to complete the acquisition ("Acquisition") of the balance of the Bahar Energy Limited shares not currently owned by GPIC; (ii) to implement the debenture conversion (the "Debenture Conversion"); and (iii) to complete the restructuring of the Company's loan with the Lender with a principal amount of $27 million plus accrued and unpaid interest originally due December 31, 2015 (together with the Debenture Conversion, the "Restructuring Transaction"), all as announced by the Company on March 8, 2016. Interest will continue to accrue on the principal of the loan at rates ranging from 15% to 20%. Unpaid interest accrued as of January 31, 2016 bears interest at a rate of 17.04% until the maturity date. The Company intends on completing the Acquisition and the Restructuring Transaction by the end of August 2016 and intends on seeking a further extension to the maturity date to provide the requisite time for GPIC to close the Acquisition and the Restructuring Transaction.
